Bill has practiced U.S. securities and corporate law for over ten years. Bill started his legal career with the United States Securities and Exchange Commission, the preeminent securities regulator in the United States. Bill worked for the SEC's Division of Enforcement in New York for three years. During this time, he was responsible for conducting investigations into alleged violations of the U.S. federal securities laws. Bill also litigated enforcement actions for the SEC in U.S. federal district court against defendants who were accused of violating the United States federal securities laws.
After his tenure at the SEC, Bill joined the law firm of Skadden, Arps, Slate, Meagher & Flom LLP, the largest law firm in the United States in terms of revenue. Bill worked in the New York office of Skadden Arps for six years as an Associate for the Structured Finance Department. While at Skadden Arps, Bill specialized in the practice of securities law. His work included the filing several shelf registration statements securitizing several different types of assets, and the drafting of numerous private placement memoranda and other securities disclosure documents. Bill also helped clients to list newly issued asset-backed securities on European stock exchanges. In addition, Bill provided advice regarding the SEC's ongoing reporting requirements for asset-backed securities issuers.
Upon moving to Toronto in 2005, Bill worked for the law firm of Dorsey & Whitney LLP as an Attorney in the firm's Corporate Department. While employed at Dorsey & Whitney, Bill provided legal advice to Canadian corporations who wished to access the U.S. capital markets. His work included assisting clients in the issuance of debt or equity in the U.S., whether through public offerings or through private placements. Bill helped companies list their securities on major U.S. stock exchanges, and advised clients regarding the ongoing listing requirements for each stock exchange. Bill also provided advice regarding best practices in corporate governance and regarding compliance with the Sarbanes-Oxley Act of 2002.
Bill graduated from Stanford University in 1985 with a Bachelor of Arts Degree in History and in Economics. Bill received a Masters of Science Degree in Management from the MIT Sloan School of Management in 1989. In 1995, Bill received his Juris Doctor Degree from Columbia University.
